Digital Content License Agreement

Effective Date: June 30, 2025
Company Name: LERN INC. doing business as RTR ("RTR", "we", "our", or "us")
Customer: You, the purchaser or user of any RTR digital content ("you" or "your")

1. License Grant

Upon purchase, we grant you a non-exclusive, non-transferable, and revocable license to access and use the digital content provided by RTR solely for your personal or internal business use, unless otherwise specified under a team or group license.

You may:

•  Download and access the digital files (e.g., workbooks, templates, audio files, assessments, trainings)
•  Use the materials to support your individual or internal team’s development
•  Print copies for personal or team use, where licensed

2. Restrictions

Unless a team or group license has been purchased, you may not:

•  Share, resell, sublicense, or redistribute the content outside of your personal or licensed team use
•  Copy or reproduce content for clients, other businesses, or unrelated third parties
•  Use the content in a competitive or derivative product
•  Remove RTR branding, copyrights, or claim authorship

3. Team Usage & Group Licensing

RTR offers digital content licensing for teams, departments, and organizations. Unless a multi-user or group license has been explicitly purchased:

•  Your license is valid for one individual only 
•  If you wish to share content with additional team members, each individual must purchase their own license or you must upgrade to a team license
•  Team licenses allow internal distribution only within the purchasing organization and only for the number of users specified at the time of purchase 
•  Group license holders may not resell, externally distribute, or make public any of the content

4. Community Access and Conduct

Access to the RTR community platform “Thrive” (including Thrive group calls, discussion forums, or private groups) is granted as part of your purchase or membership.

By participating, you agree to:

•  Engage respectfully and professionally with others
•  Keep shared content, discussions, and user experiences confidential and within the community 
•  Not solicit or promote unrelated services, products, or businesses

RTR reserves the right to suspend or revoke community access without refund if these guidelines are violated.

5. Meditation Audio Usage Rights

Meditation and hypnosis audio tracks provided by RTR (including those from the Sales Reset Series) are licensed for personal use only.

You may:

•  Download the audio files for your personal development
•  Use them privately for mindset, visualization, or sales readiness support

You may not:

•  Share, play, or distribute these audios in public or group settings (e.g., training sessions, courses, or retreats) without written permission
•  Use them commercially or as part of a coaching or therapeutic service
•  Edit, remix, or repackage the content in any way

6. Ownership & Intellectual Property

All RTR digital content—including workbooks, Opportunity Genie, CALM sales program, assessments, training modules, videos, audio recordings, and written guides—is protected by Canadian and international copyright laws. You are granted a limited license to use the content, but all rights, title, and interest remain with RTR.

7. Refund Policy

Due to the nature of digital goods, all sales are final. No refunds or exchanges will be provided after purchase unless clearly stated on the individual product page.

8. Disclaimer

Our content is intended for professional development, education, and sales performance support. Results vary based on individual effort, context, and market conditions. We make no guarantees of specific financial or sales outcomes.

RTR will not be liable for any damages, losses, or disruptions arising from the use or misuse of our content.

9. Governing Law

This agreement is governed by the laws of the Province of Ontario, Canada, without regard to conflict of law principles. Any disputes arising from this agreement shall be resolved in the courts of Toronto, Ontario.

10. Termination

We reserve the right to terminate your access and license immediately if you breach these terms. Upon termination, you must cease all use of the content and destroy any remaining copies.

By purchasing or accessing RTR digital content, you acknowledge and agree to this license agreement in full.
