Terms of Service Agreement

AGREEMENT BETWEEN USER AND LERN INC. DOING BUSINESS AS RTR

LERN Inc. doing business as RTR (“RTR”) Web Site (www.rtrofficial.com) is comprised of various web pages operated by RTR.

The RTR Web Site and content contained therein (collectively the “Content”) is offered to you conditioned on your acceptance without modification of the terms, conditions, and notices contained herein. Your use of the Content constitutes your agreement to all such terms, conditions, and notices.

MODIFICATION OF THESE TERMS OF USE

RTR reserves the right to change the terms, conditions, and notices under which the Content is offered, including but not limited to the charges associated with the use of the RTR programs or Content. Any such changes shall be effective immediately upon being posted to the RTR Web Site.

PRIVACY POLICY

RTR respects the privacy of our users. For details please see our Privacy Policy. By using the RTR Web Site and/or accessing the Content, you consent to our collection and use of personal data as outlined therein.

LINKS TO THIRD PARTY SITES

The RTR Web Site or Content may contain links to other websites (“Linked Sites”) which are not operated by RTR. These Linked Sites are not under the control of RTR and RTR is not responsible for the contents of any such Linked Sites, including without limitation any further link contained in the Linked Sites, or any changes or updates to any Linked Sites. RTR is not responsible for webcasting or any other form of transmission received from any Linked Sites. RTR is providing these links to you only as a convenience, and the inclusion of any link does not imply endorsement by RTR of the sites or any association with their operators.

NO UNLAWFUL OR PROHIBITED USE

As a condition of your use of the RTR Web Site and Content, you warrant to RTR that you will not use the RTR Web Site or Content for any purpose that is unlawful or prohibited by these terms, conditions, and notices. You may not use the RTR Web Site or Content in any manner which could damage, disable, overburden, or impair the RTR Web Site or Content or interfere with any other party’s use and enjoyment of the RTR Web Site or Content.

PERMITTED USE

The RTR Web Site and any content viewed through it is solely for personal and non-commercial use. Except for the foregoing limited permitted use, no right, title or interest shall be transferred to you. You agree not to use the service for public performances. RTR may revoke your authorization to use its Web Site or Content at any time in its sole discretion.

Unless otherwise expressly authorized herein or by RTR in writing, you agree not to display, distribute, license, perform, publish, reproduce, duplicate, copy, create derivative works from, modify, sell, resell, exploit, transfer, or upload for any commercial purposes, any portion of the RTR Web Site.

This includes but not limited to RTR assets: 1. The Opportunity Genie 2. CALM training course 2. Thrive community and 4. The meditation audios

REGISTRATION OBLIGATIONS

You may be required to register with RTR in order to access and use certain features. If you choose to register, you agree to provide and maintain true, accurate, current, and complete information about yourself. Registration data is governed by our Privacy Policy. You must be 18 or older to register and use the RTR Web Site.

MEMBER ACCOUNT, PASSWORD AND SECURITY

You may not use another’s account, or provide access to others via your own account. You are responsible for all activity under your account. You agree to notify RTR immediately of unauthorized use and to ensure that you exit your account at the end of each session. RTR is not liable for any loss or damage arising from your failure to comply with this section.

COURSES AND CERTIFICATES

RTR does not guarantee that a participant is qualified for a course, and no refunds will be issued for failure to confirm the appropriateness of any RTR course prior to enrollment.

RTR may offer certificates upon successful completion, subject to testing or criteria outlined by RTR, and reserves the right to change course content or requirements at any time.

USE OF COMMUNICATION SERVICES

RTR programs may include forums, chat areas, bulletin boards, or other communications channels (“Communication Services”). You agree to use them only for lawful, relevant, respectful communication. Prohibited actions include defamation, harassment, uploading viruses, advertising, and violating any law.

RTR reserves the right (but not obligation) to monitor and moderate Communication Services and may remove content or restrict access at its discretion.

MATERIALS PROVIDED TO RTR OR POSTED ON THE WEB SITE

By submitting any materials (e.g., feedback, comments, uploads), you grant RTR a worldwide, royalty-free license to use such content in connection with its business. You warrant you own or control all rights to your Submissions.

INDEMNITY AND RELEASE

To the fullest extent permitted by law, you agree to indemnify and hold RTR and its affiliates, employees, directors, and agents harmless from any claims, damages, or expenses arising from your use of the site or your violation of these Terms of Use.

LIABILITY DISCLAIMER

All information and services on the RTR Web Site are provided “as is” without warranty of any kind. RTR and its suppliers disclaim all warranties, including those of merchantability and fitness for purpose. RTR is not liable for any indirect or consequential damages arising from use of the Web Site or its content.

RTR’s total liability to you for all damages will not exceed the greater of $100 CAD or the amount you paid RTR in the prior six months.

Some jurisdictions do not allow these limitations, so parts of this section may not apply to you.

TERMINATION/ACCESS RESTRICTION

RTR reserves the right, at its sole discretion, to terminate your access to the Web Site and services at any time, without notice.

GENERAL

These Terms constitute the entire agreement between you and RTR regarding your use of the site and supersede prior agreements. This agreement is governed by the laws of Ontario and Canada, and disputes will be subject to the jurisdiction of the courts in Ontario, Canada.

If any part of this agreement is found to be unenforceable, the rest remains in full effect. This agreement may be admissible in court in printed form.

COPYRIGHT AND TRADEMARK NOTICES

All content on the RTR Web Site is copyrighted unless otherwise noted and may not be used without RTR’s written permission. All rights are reserved.
